Terms of Service

By accessing or using the KodeAura website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

These Terms of Service apply to all visitors, users, clients, and others who access or use our services.

KodeAura provides software engineering, consulting, and technology services including but not limited to:

• Web and mobile application development
• Artificial intelligence and machine learning solutions
• DevOps and cloud engineering
• Cybersecurity consulting and implementation
• Blockchain development
• Custom software development

The specific scope, deliverables, timeline, and pricing for each engagement will be defined in a separate Statement of Work (SOW) or project agreement signed by both parties.

As a client, you agree to:

• Provide accurate and complete information necessary for the performance of services
• Make timely decisions and provide feedback within agreed-upon timeframes
• Ensure that any materials, content, or data you provide do not infringe on third-party intellectual property rights
• Maintain the confidentiality of any login credentials or access provided to you
• Pay all fees in accordance with the agreed-upon payment schedule

Pre-Existing IP: Each party retains ownership of its pre-existing intellectual property. KodeAura retains ownership of its proprietary tools, frameworks, libraries, and methodologies.

Work Product: Unless otherwise specified in the project agreement, upon full payment, the client receives ownership of custom code and deliverables created specifically for their project. This does not include KodeAura's pre-existing IP or general-purpose components.

Open-Source Components: Our solutions may incorporate open-source software components, which are subject to their respective licenses. We will disclose all open-source components used in your project.

Portfolio Rights: KodeAura reserves the right to reference the engagement (company name and general project description) in our portfolio and marketing materials, unless otherwise agreed in writing.

• Payment terms and schedules are defined in each project agreement or SOW
• Invoices are due within 14 days of issuance unless otherwise specified
• Late payments may incur interest at a rate of 1.5% per month on the outstanding balance
• KodeAura reserves the right to suspend work on any project with outstanding payments exceeding 30 days
• All fees are exclusive of applicable taxes, which are the responsibility of the client

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. This includes but is not limited to:

• Business strategies, plans, and financial information
• Technical specifications, source code, and architecture details
• Customer data and user information
• Trade secrets and proprietary processes

Confidentiality obligations survive the termination of the engagement for a period of 3 years, unless the information becomes publicly available through no fault of the receiving party.

Service Warranty: KodeAura warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. If deliverables contain defects attributable to KodeAura, we will correct them at no additional cost within 30 days of notification.

Disclaimer: Except as expressly stated herein, all services and deliverables are provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law:

• KodeAura's total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client for the specific project giving rise to the claim
• In no event shall KodeAura be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities
• KodeAura shall not be liable for any delays or failures in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, or government actions

By Either Party: Either party may terminate an engagement with 30 days written notice. The client shall pay for all work completed up to the date of termination.

For Cause: Either party may terminate immediately if the other party materially breaches these terms and fails to cure the breach within 15 days of written notice.

Effect of Termination: Upon termination, KodeAura will deliver all completed work product for which payment has been received. Any provisions that by their nature should survive termination (confidentiality, limitation of liability, intellectual property) shall survive.

When using our website, you agree not to:

• Use the website in any way that violates any applicable law or regulation
• Attempt to gain unauthorized access to any part of the website or its related systems
• Use any automated means (bots, scrapers) to access the website without our express written permission
• Transmit any viruses, malware, or other malicious code
• Interfere with or disrupt the website or servers connected to it

We reserve the right to terminate or restrict your access to the website at our sole discretion, without notice, for any conduct that we believe violates these Terms or is harmful to other users or our business.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of New York County, New York.

We reserve the right to modify these Terms of Service at any time. We will notify clients of material changes via email and update the "Last Updated" date on this page. Continued use of our services after any changes constitutes acceptance of the new terms.
